Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of the Tidbit LLM gateway and related services available at usetidbit.ai (the "Service"), operated by Tidbit, a product of Neueway Creations LLC, a Delaware limited liability company ("Tidbit", "we", "us", or "our"). By accessing or using the Service, or by accepting an invitation to it, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Invite-only beta

The Service is currently offered as an invite-only beta. Access is granted at our discretion and may be limited, suspended, or withdrawn at any time. Beta features are provided for evaluation, may change or be discontinued, and may contain errors or be unavailable from time to time. Beta usage may be subject to additional limits communicated to you.

We also describe this period as "early access" in our marketing and product copy. "Early access" and "the beta" mean the same thing: the invite-only period described in this section, which continues until we announce general availability. Where we state that the Service, or any part of it, is free during early access, that statement refers to this period and is subject to the pricing terms below.

3. The Service

Tidbit is a gateway that routes your requests to upstream large language model providers and applies optimizations intended to reduce token usage and cost while preserving output quality. Tidbit does not provide the underlying models; requests you route are processed by the upstream provider you target, under that provider’s terms.

We may add, modify, or remove features of the Service at any time. We will use reasonable efforts to notify you of material changes that adversely affect your use.

4. How the Service works on your device

To optimize your Claude traffic, Tidbit works on the device where you install it. The installer runs a small Tidbit program (a "local daemon") in your own user account and points your Claude client at it, by writing two settings into your Claude configuration file (~/.claude/settings.json): a proxy address, which is the daemon on your own machine, and the path to a certificate file. It does not add anything to your operating system’s trust store, does not add or change entries in your hosts file, does not configure a system-wide proxy, and does not modify Claude or any other application.

The daemon decrypts, and forwards to the Tidbit gateway, only the requests your Claude client sends to anthropic.com and claude.ai, and their subdomains. The TLS connection is terminated by the daemon on your own machine, and the request is then sent to the gateway over a fresh encrypted connection, where it is inspected and rewritten to reduce token usage before being forwarded on to Anthropic. Connections to every other destination are passed straight through the daemon as raw, still-encrypted traffic and go directly to the site the client asked for: the daemon does not decrypt them and they never reach the Tidbit gateway.

The certificate authority the daemon uses is a file in your own user directory, trusted by your Claude client alone because that client is told to trust it by the setting above. It is not in your operating system’s trust store, so nothing else on your machine trusts it. It is also deliberately name-constrained: it can only ever be used for anthropic.com, claude.ai and claude.com, and their subdomains, and is cryptographically incapable of impersonating any other site (your bank, email, code hosts, SSH, or anything else). It therefore cannot expose your other traffic or lock you out of any service. You can remove the daemon, the certificate file, and the two Claude settings at any time by running the installer’s uninstall command, which fully reverses these changes.

The daemon keeps itself up to date automatically. It checks a signed manifest published at get.usetidbit.ai every six hours and installs the version that manifest names, without asking you again. An update can change how the software behaves, not only fix bugs: by installing Tidbit you agree that we may replace the Tidbit software running on your machine in this way. Updates are on, and the installer offers no switch to decline them. If you run ‘tidbit updates off’ from a terminal, nothing is installed and you are told instead that a new version exists, and the six-hourly manifest check still runs. If you do not want the software updated on your machine, uninstall it.

5. Customer Content and Account Data

"Customer Content" means the prompts, inputs, requests, and completions/outputs that you route through the gateway. "Account Data" means the information you provide to create and administer your account and the operational metadata we generate when you use the Service (for example, registration details, usage and token counts, model identifiers, cost and savings figures, and diagnostic events). The two are treated differently: you own and control your Customer Content, and we use it only to provide the Service to you; Account Data is used to operate, secure, meter, and improve the Service as described in these Terms and the Privacy Policy.

Except for the optional Traffic Sampling program (which you must separately and expressly enable), we do not use your Customer Content to train machine-learning models, and we do not sell it. Our processing of any personal information contained in Customer Content is governed by our Privacy Policy and, where applicable, our Data Processing Addendum. The third-party service providers we use to operate the Service are published on our Subprocessors page.

6. Content handling and retention

Your Customer Content is optimized in-flight and, by default, retained for nothing. In the default zero-data-retention (ZDR) mode, the gateway processes the content of your requests and responses only in memory to serve the request and compute usage metrics, and then discards it: it is not written to durable storage.

Content is stored outside that default in four cases, each requiring an act by you or your organization: if you send a support report, the app packages a single request/response exchange (redacted) plus your note so we can diagnose your issue; if you turn on debug capture for your own account (for example, running `tidbit debug on`), the gateway records the full content of your traffic for as long as it stays on, regardless of which API key it passes through; if you mark an individual API request for debug capture by sending the `x-tidbit-debug` header on it, that request and its response are captured the same way, attributed to the API key you sent it with; and if an administrator of your organization expressly enables the separate, opt-in Traffic Sampling program, a small, key-scoped fraction of your traffic is captured. The first three are things you do yourself and can turn off at any time; you can also ask us to provide or delete a support report you submitted, by contacting us. The Traffic Sampling program is described below and in the Traffic Sampling Addendum.

7. Optional traffic sampling

Tidbit offers an optional Traffic Sampling program that is opt-in only and off by default. If an authorized administrator of your organization enables it from your organization settings, a small, customer-chosen fraction of your traffic through the keys you select is sampled, redacted, and used in aggregate to improve the Service. The program is governed by the Traffic Sampling Addendum, which you should read before enabling it. You can revoke consent and delete your sampled data at any time.

8. Accounts and security

You are responsible for maintaining the confidentiality of your credentials and API keys and for all activity that occurs under your account. API secrets are shown once at creation; you are responsible for storing them securely. Notify us promptly at nibble@usetidbit.ai if you suspect unauthorized use of your account or keys.

You must provide accurate account information and keep it up to date. You are responsible for ensuring that everyone who uses the Service through your account complies with these Terms.

9. Acceptable use

You agree not to use the Service to: violate any law or the rights of others; send content that is unlawful, infringing, or harmful; attempt to gain unauthorized access to the Service, other tenants’ data, or the systems of upstream providers; interfere with or disrupt the integrity or performance of the Service; reverse engineer or circumvent usage limits, security, or access controls; or use the Service to build a competing gateway by scraping or systematic extraction.

You must also comply with the acceptable-use and usage policies of any upstream model provider your requests are routed to, including Anthropic’s Usage Policy. Those upstream policies flow through to you as a condition of using the Service, and we may suspend or restrict your access if an upstream provider requires it or if your use would cause us to violate an upstream provider’s terms. You are responsible for the content of the requests you send and the use you make of the outputs you receive.

10. Fees and billing

Pricing for the Service, including any savings-share or usage-based fees, will be as described to you or in an order or plan you accept. During the beta, some features may be provided at no charge or under promotional terms. You are responsible for any taxes associated with your use, other than taxes on our income.

Automatic renewal. Paid subscriptions are billed in advance on a recurring basis and automatically renew for successive periods of the same length until you cancel, at the then-current price, and your payment method is charged automatically at the start of each renewal period. This automatic-renewal offer continues until you cancel. You may cancel at any time, including online, at will, through the billing portal, and cancellation takes effect at the end of the current billing period. We present these automatic-renewal terms to you clearly and conspicuously before you subscribe, obtain your affirmative consent, and send an acknowledgment that includes the renewal terms and how to cancel, consistent with applicable automatic-renewal laws (including California Business & Professions Code section 17600 et seq.).

Price changes and refunds. We may change pricing on prospective notice; a price change applies to the next renewal period after notice is given. Except where required by law or expressly stated in an order, fees are non-refundable and are not prorated on cancellation. Any free trial converts to a paid subscription at the end of the trial unless you cancel before it ends. Late or failed payments may result in suspension of the Service after reasonable notice.

11. Intellectual property

The Service, including its software, design, and content (excluding your data and your request/response content), is owned by Tidbit and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. You retain all rights in the content you submit and the outputs you receive; you grant us the limited rights needed to operate the Service and route your requests.

12. Feedback

If you give us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free, and fully sublicensable license to use and incorporate that feedback into the Service and our business without restriction or obligation to you. You are not required to provide feedback.

13. Export control and sanctions

You must comply with all applicable export control, economic sanctions, and anti-corruption laws in your use of the Service. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive government sanctions, and that you are not identified on any government list of prohibited or restricted parties. You will not use the Service in violation of any such law, or to enable anyone who is so located or listed to use it.

14. Support access

To provide support, investigate issues, and maintain the security of the Service, authorized Tidbit operators may access your account and, where necessary, act within it on your behalf. Such access is logged and attributed to the operator. Certain sensitive actions (for example, granting consent to the optional Traffic Sampling program) cannot be performed by an operator acting on your behalf and must be taken by your own administrator.

15. Service levels

During the beta, the Service is provided without any service-level agreement (SLA), uptime commitment, or support commitment. We may define service levels for generally available, paid tiers in a separate agreement or order.

16. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, that optimizations will achieve any particular level of savings, or that outputs from upstream providers will be accurate or suitable for your purposes. This is especially the case during the beta.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIDBIT AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amounts you paid us for the Service in the three months before the event giving rise to the claim, or one hundred U.S. dollars (USD 100).

18. Indemnification

You will indemnify and hold harmless Tidbit from and against any claims, damages, liabilities, and expenses arising out of your content, your use of the Service in violation of these Terms, or your violation of any law or the rights of a third party, including any upstream provider.

19. Termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law, or to protect the Service or other users, and we may discontinue the beta at any time. Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

20. Changes to these terms

We may update these Terms from time to time. When we make material changes we will revise the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after an update constitutes acceptance of the revised Terms.

21. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and, subject to the "Dispute resolution" section below, the parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.

22. Dispute resolution

The parties will first attempt in good faith to resolve any dispute informally by contacting each other. Any dispute not resolved informally will be settled by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, seated in the State of Delaware, before a single arbitrator; judgment on the award may be entered in any court of competent jurisdiction. Each party bears its own fees except as the AAA rules or applicable law provide. CLASS-ACTION WAIVER: disputes will be arbitrated only on an individual basis; each party waives any right to bring or participate in a class, collective, consolidated, or representative action. Carve-outs: either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief for intellectual-property or confidentiality matters in the Delaware courts identified above. A party may opt out of this arbitration agreement by written notice within 30 days of first accepting these Terms.

23. General

Entire agreement. These Terms, together with any order, plan, the Privacy Policy, the Traffic Sampling Addendum (if enabled), and any data processing addendum, are the entire agreement between you and us regarding the Service and supersede any prior agreements on that subject.

Assignment. You may not assign or transfer these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets. Any prohibited assignment is void.

Force majeure. Neither party is liable for any delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control.

Severability, waiver, and no third-party beneficiaries. If any provision is held unenforceable, the rest remain in effect and the provision is modified to the minimum extent necessary. A failure to enforce a provision is not a waiver of it. These Terms create no third-party beneficiary rights.

Notices. We may provide notices to you by email or through the Service; you may send notices to us at nibble@usetidbit.ai (and, once designated, the entity’s registered address). The parties are independent contractors.
